you are eighteen (18) years of age or older, you own all rights in the content, you have permission from any person(s) appearing in the content to grant the rights herein, AdAlong use of the content does not infringe the rights of any third party or violate any law, you have read and that you agree to the following terms and conditions: These Terms of Use for User-Generated Content (“UGC Terms of Use”) are a binding agreement between the Brand and you and describes the terms and conditions under which AdAlong may use that digital content (video, photo, etc.) created and publicly posted by you via the social media platform (Instagram, Facebook, Twitter, Pinterest, etc.) on which such content appears (the “Content”).

Rights & Guarantees

You acknowledge that (i) the content was created by you or that you own or control all intellectual property rights in such Content and (ii) the exercise by AdAlong of its rights under these UGC Terms of Use will not violate the rights of any third party or any applicable laws, rules or regulations. You indemnify, defend and hold the Brand harmless from and against any claims, damages, liabilities, and costs in connection with the use of the Content by AdAlong. You warrant and represent that, to your knowledge, no virus is intentionally included in the content.

 

You grant AdAlong the right to use your username, real name, image, likeness, descriptions of you, location or other identifying information, including but not limited to your voice, in connection with any use of your User Content.

 

You hereby grant AdAlong a worldwide, perpetual, irrevocable, royalty-free, transferable, sub-licensable and non-exclusive license to use, copy, distribute, publish, exhibit, reproduce, digitize, modify, adapt, create derivative works from, publicly perform, publicly display, incorporate, and otherwise exploit such Content on AdAlong online and offline media known or later developed for advertising, marketing or any other lawful purpose desired by AdAlong.

Limitation of Liability

To the fullest extent permissible under applicable law, AdAlong is not liable for any indirect loss, costs, damages, charges or expenses. In the event the Content causes any technical disruption, you agree to be responsible for any and all liabilities and costs and expenses arising from any and all claims brought by third parties based upon such technical disruptions.

User’s Benefits

The content will be showcased by the brand offline and online. You have the opportunity to inspire others with your styling ideas. In return you hereby grant to the Brand a non-exclusive, worldwide, free of charge license to use the content. You release and discharge AdAlong from all and any obligation to pay you for any use of the content and any of the intellectual property rights contained therein in connection with the uses described above when you respond with #YESAdAlong.

Miscellaneous

These UGC Terms of Use constitute the entire agreement between you and the Brand with respect to the Content. These Terms shall be governed by French law, as applicable with a jurisdiction of the Paris courts. AdAlong reserves the right to alter these Terms of Use without advance notice by posting a revised Terms of Use. Accordingly, you should review the Terms of Use each time you grant permission or authorization to feature your User Content.
